These Terms & Conditions (“Terms”) govern your use of the James Agbai SEO website and any SEO consulting, strategy, content, local SEO or related services provided by James Agbai (“I”, “me”, “my”, or “James Agbai SEO”).

By using this website or engaging my services, you agree to these Terms.

If you do not agree with these Terms, please do not use the website or engage my services.

  • SEO audits
  • Technical SEO analysis
  • Keyword research
  • Competitor analysis
  • On-page SEO
  • Internal linking
  • SEO strategy
  • Content strategy
  • Content optimization
  • Local SEO
  • Google Business Profile optimization
  • Local keyword research
  • Local landing-page strategy
  • SEO consulting
  • Website reviews
  • Implementation guidance

Not every service is included in every project.

The exact deliverables, timeline, responsibilities and fees for a particular project will be agreed with the client before work begins.

4. No Guarantee of Rankings or Traffic

SEO involves search engines, competitors, algorithms, market conditions and other factors that are outside my direct control.

Therefore, I do not guarantee:

  • Specific Google rankings
  • A specific position in search results
  • A specific amount of organic traffic
  • A specific number of leads or sales
  • A specific increase in revenue
  • A particular time frame for achieving SEO results

Any examples, case studies, screenshots, traffic figures, rankings or other results shown on this website represent specific projects and circumstances. They should not be interpreted as a guarantee that another client will achieve identical results.

My approach is based on practical SEO strategy, technical improvements, content optimization and measurement rather than guaranteed rankings or black-hat techniques.

5. Case Studies and Results

Results presented on this website are based on individual SEO projects.

For example, case studies may include search clicks, impressions, average positions, content output or other search-performance metrics.

Past performance does not guarantee future results.

SEO performance can be affected by factors including:

  • Search-engine algorithm changes
  • Competitor activity
  • Website changes
  • Content quality
  • Technical issues
  • Search demand
  • Industry changes
  • Client implementation
  • Website history
  • Search-engine policies

6. Client Responsibilities

Successful SEO work may require cooperation from the client.

Depending on the project, the client may be responsible for providing:

  • Accurate business information
  • Website access
  • Google Analytics access where required
  • Google Search Console access where required
  • Google Business Profile access where required
  • Hosting or CMS access where required
  • Existing content and business information
  • Timely feedback and approvals
  • Information necessary to understand the business and target audience

The client is responsible for ensuring that information supplied to me is accurate and that they have the right to provide any materials, content, images, data or access credentials supplied for the project.

Delays caused by missing information, unavailable access or delayed approvals may affect project timelines.

7. Website and Technical Changes

Where implementation is included in a project, reasonable care will be taken when making website or SEO changes.

However, website changes can sometimes produce unexpected effects because of hosting environments, themes, plugins, CMS configurations, third-party integrations or existing technical issues.

Clients are responsible for maintaining appropriate website backups.

Where possible, significant technical changes should be backed up or tested before implementation.

8. Third-Party Platforms and Services

SEO work may involve third-party platforms and services such as:

  • Google Search
  • Google Search Console
  • Google Analytics
  • Google Business Profile
  • Ahrefs
  • Semrush
  • WordPress
  • Rank Math
  • WhatsApp
  • Other SEO, analytics or website platforms

Third-party platforms operate independently of James Agbai SEO.

I do not control their algorithms, policies, availability, pricing, features or technical decisions.

Changes made by third-party platforms may affect SEO performance or the delivery of certain services.

9. Content Services

Where content strategy, content writing or content optimization is included in a project, the client is responsible for providing accurate information about their business, products, services and industry.

Unless otherwise agreed in writing, the client is responsible for reviewing and approving content before publication.

The client should notify me of any factual inaccuracies or required corrections before content is published.

10. Ethical SEO Practices

I do not intentionally use SEO practices designed to manipulate search engines through spam, keyword stuffing, malicious activity or other practices that violate applicable search-engine guidelines.

SEO recommendations are made based on professional judgment, available information and the objectives agreed for the project.

No SEO strategy can eliminate the possibility of algorithmic changes, ranking fluctuations or other search-engine actions.

11. Fees and Payment

Fees for services will be communicated and agreed before work begins.

Depending on the project, payment may be required:

  • In full before work begins
  • As a deposit followed by one or more payments
  • On a monthly basis
  • According to another payment schedule agreed with the client

The agreed payment terms take priority over the general examples above.

Work may be paused or suspended if an agreed payment becomes overdue.

Any additional work outside the agreed scope may require a separate fee.

12. Scope of Work

Services are provided according to the scope agreed with the client.

Requests that materially expand the original scope may be treated as additional work.

Examples may include:

  • Additional websites
  • Additional locations
  • Additional content
  • Additional SEO audits
  • Additional technical implementation
  • Additional consulting sessions
  • Additional research or strategy work

Additional work will be discussed with the client before being undertaken where reasonably possible.

13. Cancellation and Termination

Either party may request to end an ongoing service arrangement subject to the cancellation terms agreed for that project.

Where no separate cancellation terms have been agreed, reasonable notice should be provided.

Fees for work already completed or services already delivered may remain payable.

Any non-refundable deposits or payments will be treated according to the terms agreed before the project began.

I reserve the right to terminate a project where a client:

  • Fails to make required payments
  • Provides misleading or fraudulent information
  • Requests unlawful or unethical activity
  • Abuses or threatens me or others involved in the project
  • Repeatedly prevents reasonable progress on the project

14. Intellectual Property

Unless otherwise agreed in writing, website content, written materials, strategies, reports, templates, processes, frameworks and other materials created specifically for a client may be provided for the client’s use following payment of the applicable fees.

Pre-existing materials, proprietary processes, templates, frameworks, methodologies, tools and resources remain the property of James Agbai SEO unless otherwise agreed.

Clients may not resell, redistribute or commercially reproduce proprietary materials provided as part of a service unless permission has been granted.

Third-party materials remain subject to their respective owners’ rights and licences.

15. Client Materials

The client retains ownership of materials they provide to me, including business information, images, documents, website content and other materials belonging to the client.

By providing such materials, the client confirms that they have the necessary rights or permissions for me to use them for the agreed purpose.

16. Confidentiality

Reasonable care will be taken to keep confidential business information provided during a project private.

Confidential information may include:

  • Business strategies
  • Website access information
  • SEO data
  • Internal business information
  • Marketing information
  • Non-public financial or commercial information

Confidential information may be disclosed where required by law, necessary to provide the service, or otherwise permitted by the client.

Clients should not send passwords through ordinary chat messages where a safer method of access can be used.

17. Website Availability

I aim to keep this website available and functioning properly, but I do not guarantee uninterrupted or error-free access.

The website may occasionally be unavailable because of:

  • Maintenance

However, website content may contain errors, omissions or information that becomes outdated.

Information published on the website is provided for general informational purposes and should not be treated as a guarantee or contractual offer unless expressly stated otherwise.

19. Limitation of Liability

To the extent permitted by applicable law, James Agbai SEO will not be responsible for indirect, incidental, special or consequential losses arising from the use of the website or SEO services.

This may include losses resulting from:

  • Search-engine ranking changes
  • Loss of traffic
  • Changes to search algorithms
  • Website downtime
  • Third-party platform changes
  • Loss of business or revenue
  • Technical problems outside my reasonable control
  • Client implementation decisions

Nothing in these Terms is intended to exclude liability that cannot legally be excluded under applicable law.

20. Indemnity

To the extent permitted by applicable law, the client agrees to take responsibility for claims, losses or liabilities arising from:

  • Materials supplied by the client that infringe another person’s rights
  • False or misleading information supplied by the client
  • Unlawful use of the services
